Terms of Service

1. Agreement to Terms

By accessing or using Pryse ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Pryse is a pricing diagnostics platform that helps businesses identify margin leakage and pricing opportunities through data analysis. The Service includes data upload, analysis, visualization, and reporting features.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

4. Payment Terms

Access to the Service requires a one-time payment of €1,499 (or equivalent in your currency). Payment is processed securely through our third-party payment provider. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

EU customers: Prices include applicable VAT. You have a 14-day right of withdrawal from the date of purchase, unless you have already accessed and used the diagnostic report, in which case the right of withdrawal is waived.

5. Your Data

You retain ownership of all data you upload to the Service ("Your Data"). By uploading data, you grant us a limited license to process Your Data solely to provide the Service to you.

You represent and warrant that:

  • You have the right to upload and share Your Data with us
  • Your Data does not violate any laws or third-party rights
  • Your Data does not contain personal data of individuals unless you have a lawful basis to process it

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to transmit malware or harmful code
  • Resell, sublicense, or redistribute the Service without authorization
  • Use automated systems to access the Service without permission

7. Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by Pryse and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Analysis results and reports generated from Your Data are licensed to you for your internal business use.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The insights and recommendations provided by the Service are for informational purposes only and should not be considered financial or business advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRYSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Pryse and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for any reason, including if you violate these Terms. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time. We will delete Your Data within 30 days of account deletion, except where retention is required by law.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of the Netherlands.

If you are a consumer in the EU, you may also be entitled to bring proceedings in your country of residence and benefit from mandatory consumer protection laws of your country.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pryse regarding the Service.
